After all, those “faceless,” statesmanlike bureaucrats of the postwar era who presided over their firms with such autonomy didn’t actually own them. The rise of more active shareholders was meant to improve the performance of CEOs—and by some financial measures it did. I wish Mizruchi had made even more of his important finding that shareholder-value-driven CEOs became less civic-minded.
